Reference is made to the announcements made earlier todaywhereby SmartCraft ASA ("SmartCraft" or the "Company", OSE ticker code "SMCRT")announced the acquisition of Kvalitetskontroll AS ("Kvalitetskontroll"). The Company's board of directors has, based on an authorisation granted to it bythe extraordinary general meeting of the Company held on 25 May 2021, resolvedto increase the Company's share capital with NOK 5,056.18 by issuance of 505,618new shares to the sellers of Kvalitetskontroll at a subscription price of NOK21.00 per share in connection with the Company's acquisition ofKvalitetskontroll through its subsidiary SmartCraft Norway AS. The sharecontribution has been settled by way of set off against the respective sellers'receivable towards the Company. Following registration of the share capital increase with the Norwegian Registerof Business Enterprises (Nw. Foretaksregisteret), the Company's share capitalwill be NOK 1,715,223.05, divided into 171,522,305 shares, each with a nominalvalue of NOK 0.01. Following completion of the acquisition of Kvalitetskontroll earlier today,Christer Kleppestø, Bjørn Erik Fjeldstad and Espen Thorbjørnsen are consideredprimary insiders of the Company.
